These terms and conditions govern all users of cellsyntax.com. They must be agreed upon before any purchases can be made.

General Terms and Conditions

All e-Check / ACH payments will be made payable to CellSyntax. I authorize cellsyntax.com to initiate a single ACH / electronic debit to my account in the amount of my order from the bank account information provided on the date of my order. I agree that ACH transactions I authorize comply with all applicable law. Payments made after 11 PM Pacific Time will be applied as of the next business day. To complete the payment process, click the “Place Order” button. Once payment is authorized, there cannot be any changes or corrections.

It is recommended that you print a copy of this authorization and maintain it for your records.

Use of Our Web Site

cellsyntax.com reserves the right to limit and/or deny sales of products to any unqualified individuals. All customers must be at least 21 years of age to purchase our products. In no circumstance shall cellsyntax.com be liable for incidental or consequential damages, whether purchaser’s claim in contract, negligence, strict liability or otherwise. In direct consideration of approving the sale of any product to the purchaser, the purchaser agrees to indemnify and hold us harmless from all claims, expenses, losses and liability of any type arising out of the purchaser’s handling, possession, and/or use of the product, whether used alone or in combination with any substance. Any sale would be denied otherwise.

Product Use

CellSyntax products are intended for laboratory in-vitro research purposes only. They are not for human or animal use or consumption of any kind and are not to be used for any other purposes, including but not limited to food and/or drugs, medical devices, in-vitro diagnostic purposes, or for commercial purposes. The purchaser agrees that the products have not been sterilized or tested by cellsyntax.com for safety and efficacy in food, drug, medical device, cosmetic, commercial or any other use.

The purchaser expressly represents and warrants to cellsyntax.com that the purchaser will properly test, use, manufacture and market any products purchased from cellsyntax.com and/or materials produced with products purchased from cellsyntax.com in accordance with the practices of a reliable person who is experienced in the field and in strict compliance with all applicable laws and regulations, now and hereinafter enacted. The purchaser further warrants that any material produced with any product shall not be adulterated or misbranded within the meaning of the Federal Food, Drug, and Cosmetic Act and shall not be materials which may not, under Sections 404, 505, or 512 of the Act, be introduced into interstate commerce.

The purchaser realizes and agrees that, since cellsyntax.com products are, unless otherwise stated, intended solely for in-vitro research purposes, they may not be on the Toxic Substances Control Act (TSCA) inventory listing. The purchaser assumes responsibility to assure that the products purchased from cellsyntax.com are approved for use under TSCA, if applicable.

Purchaser has the responsibility to verify the hazards and to conduct any further research necessary to learn the hazards involved in using products purchased from cellsyntax.com. No products purchased from cellsyntax.com shall, unless otherwise stated, be considered to be foods, drugs, medical devices or cosmetics. All products and services offered are for research purposes only. Under no circumstances shall or should any of these materials be used for therapeutic or diagnostic purposes. cellsyntax.com is not liable for any damages that may be caused by negligence, abuse, or any other unforeseen matter.

We do not provide any type of guidelines or suggestions regarding reconstitution of peptides or their application to your research. You agree that this Terms and Conditions of Use Agreement and this Web Site will be governed by and construed in accordance with California law without giving effect to any principles of conflicts of laws. Any dispute arising under these Terms will be resolved exclusively in the state or federal courts located in Orange County, California, and you consent to personal jurisdiction and venue in those courts. Entire Agreement, Severability, Force Majeure

These Terms and Conditions and any terms incorporated or referred to herein constitute the entire agreement between CellSyntax and you relating to your use of this Web Site and the subject matter hereof, and supersede any prior understandings or agreements (whether electronic, oral, or written) regarding the subject matter, and may not be amended or modified except in writing.

If any part of this Terms and Conditions of Use Agreement is deemed or determined to be unenforceable, then such part shall be eliminated or limited to the minimum extent necessary. CellSyntax shall not be liable for any delay or failure in performance caused by circumstances beyond its reasonable control, including, without limitation, delays due to backorders of requested products, mail delays, customs delays, or lost shipments. CellSyntax shall not be responsible to notify the customer in the event of such delays. The customer shall be solely responsible to make other arrangements to purchase alternative products and any costs incurred in connection with such purchases.

Should anyone purchase from CellSyntax without such affiliation, they may be committing a fraudulent act for which they could be held liable. CellSyntax may, at its sole discretion, require further verification of affiliation prior to order fulfillment.

International and Regional Compliance

cellsyntax.com may be accessed by international visitors. CellSyntax relies on each client to know the requirements of their own region and to purchase accordingly. This includes but is not limited to VAT, import taxes, import certifications, licenses, registrations, or anything else which, if not obtained, would place the purchaser out of compliance with the regulations of their own country. Where local regulations restrict the sale of certain research compounds, CellSyntax reserves the right to decline shipment into those jurisdictions.

Mobile Information Privacy

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All of the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

Shipping Risk of Loss

Once your order has been transferred to the carrier (including but not limited to USPS, UPS, or FedEx), title and risk of loss pass to the buyer in accordance with the Uniform Commercial Code (UCC). At that point, the shipment is no longer the responsibility of CellSyntax. By completing your purchase, you acknowledge that if you voluntarily waive shipping insurance, CellSyntax is not responsible for lost, stolen, or damaged packages.

Coupons, Discounts, and Promotional Pricing

Coupons, discounts, and sale prices may not be combined or stacked. Once a coupon code has been used, it cannot be used again. Promotional discounts apply at the time of purchase only and are not retroactive to previous orders. Any attempt to stack codes will result in the additional discount being automatically removed.

Governing Law and Venue

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of California, without regard to its conflict of laws principles. The parties agree that any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located within Orange County, California, and the parties hereby consent to the personal jurisdiction and venue of such courts.
